In connection with the Company’s initial public offering, the Company executed an Underwriting Agreement on June 18, 2007, which was filed as Exhibit 1.1 to the Company’s Current Report on Form 8-K on June 22, 2007. Pursuant to the Underwriting Agreement, an audited balance sheet of the Company reflecting receipt by the Company of the proceeds of the offering is included in the Audited Financial Statements attached hereto as Exhibit 99.1 and is incorporated herein by reference.
