Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 14, 2024, Justin K. Leins informed the Board of Directors (the “Board”) of Kingfish Holding Corporation (the “Company”) that due to professional reasons he has decided not to accept the appointment to the Board. The Board initially approved Mr. Leins to serve as a director on the Board on April 29, 2024 as disclosed on the Company’s current report on Form 8-K filed May 3, 2024. However, as disclosed in this filing, following such approval, Mr. Leins has declined that appointment and will not serve on the Board.
