Explanation of Responses:

1. Each stock unit represents a conditional right to receive one share of the company's common stock.

2. The shares of common stock reflect a grant of restricted stock units pursuant to the Issuer's Amended and Restated 2013 Omnibus Non-Employee Director Incentive Plan. The number of shares of restricted stock units granted was determined by reference to the closing price of a share of the Issuer's Common Stock on March 22, 2023, the appointment date.

3. The restricted stock units will vest based on their respective award agreements.

4. 100% of the restricted stock units will vest at 11:59pm Eastern Time on the date of the Company's 2024 Annual Meeting of Shareholders.
