Explanation of Responses:

1. Award of Restricted Stock granted under the Amended and Restated ARI Network Services, Inc. 2010 Equity Incentive Plan. The shares of restricted stock will vest 25% beginning on 8/1/17 and on each of the 2nd through 4th anniversaries of the grant date.

Amendment filed to correct the total directly owned shares due to a miscalculation on the Form 4.
