We acknowledge the Staff’s comment and have filed a pre-effective Amendment No. 1 to the Registration Statement with the Securities and Exchange Commission (the “Commission”) concurrently herewith to modify the incorporation by reference section to include the Current Report on Form 8-K filed by OMPI with the Commission on October 26, 2010, as well as the Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2010 filed by OMPI with the Commission on November 4, 2010. We hereby undertake to file a pre-effective or post-effective amendment, as applicable, to the Registration Statement to update the incorporation by reference section each time OMPI files an annual, quarterly or current report with the Commission pursuant to Sec tion 13(a) or Section 15(d) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or a proxy or information statement pursuant to Section 14 of the Exchange Act, until all securities covered by such Registration Statement are sold or we have filed a post-effective amendment to deregister such securities.
