Item 2.02.Results of Operations and Financial Condition

      On October 30, 2007, Hampden Bancorp, Inc. (the "Company"), the holding company for Hampden Bank, announced its financial results for the three months ended September 30, 2007. The press release announcing financial results for the three months ended September 30, 2007 is included as Exhibit 99.1 and incorporated herein by reference.

Item 7.01. Regulation FD Disclosure

      On October 30, 2007, the Company announced that its Board of Directors has set the date for a special meeting of shareholders. The special meeting will be held on Tuesday, January 29, 2008, at 2:00 p.m. (Eastern Time) at the Sheraton Springfield Monarch Place Hotel, One Monarch Place, Springfield, MA. The record date for shareholders entitled to vote at the meeting will be December 12, 2007. At the special meeting, shareholders will be asked to consider and approve the adoption of the 2008 Equity Incentive Plan. A copy of the press release issued by the Company on October 30, 2007 is attached as Exhibit 99.1 and incorporated herein by reference.

Item 8.01. Other Events

      On October 30, 2007, the Company issued a press release announcing that its Board of Directors declared a quarterly cash dividend of $0.03 per common share, payable on November 27, 2007, to stockholders of record at the close of business on November 13, 2007. A copy of the press release announcing the declaration is attached as Exhibit 99.1.
