Explanation of Responses:

1. Upon his re-election to the Guidance Board of Directors on May 11, 2016, Mr. van Schoonenberg was granted Restricted Stock Awards representing 15,152 shares of Company Common Stock and, provided Mr. van Schoonenberg remains a Director of Issuer, such shares shall vest as follows: 100% vests on May 11, 2017 or on the date of the Company's 2017 Annual Shareholder Meeting, whichever date occurs first.

2. Shares are held in the name of the Robert Van Schoonenberg Trust, dtd March 11, 1998.
