Guidance Software Reports Q2 2011 Financial Results
• | Revenue of $23.9 million marks record Q2 revenue performance |
• | Non-GAAP earnings per share of $0.02 marks fifth consecutive profitable quarter |
• | Added 65 customers on the EnCase® Enterprise platform compared to 17 in Q2 2010 |
PASADENA, Calif. – August 1, 2011 –Guidance Software, Inc. (NASDAQ: GUID) today reported financial results for the quarter ended June 30, 2011.
Second quarter 2011 financial highlights, calculated in accordance with generally accepted accounting principles (GAAP) include:
• | revenue of $23.9 million, an increase of $1.2 million, or 5 percent, from $22.7 million in the second quarter of 2010 |
• | product revenue of $11.2 million, flat with $11.2 million in the second quarter of 2010 |
• | services and maintenance revenue of $12.7 million, an increase of $1.2 million, or 11 percent, from $11.5 million in the second quarter of 2010 |
• | GAAP net loss of $1.4 million, or ($0.06) per share, compared to a GAAP net loss of $1.3 million, or ($0.05) per share, in the second quarter of 2010. |
On a non-GAAP basis, which excludes share-based compensation, acquisition-related expense, and amortization of intangibles, the company reported pre-tax net income of $0.4 million, or $0.02 per share, in the second quarter of 2011, compared to non-GAAP pre-tax net income of $0.6 million, or $0.03 per share, in the second quarter of 2010.
Guidance Software President and Chief Executive Officer Victor Limongelli said, “In addition to delivering our highest second quarter revenue ever, the quarter marked the achievement of several significant strategic and financial milestones. We delivered the much-anticipated version 7 of EnCase® Forensic, our flagship digital forensics solution. Guidance Software was also positioned in the ‘Leaders Quadrant’ in the industry’s first Gartner Magic Quadrant for E-Discovery Software, which we believe recognizes our leadership, vision, continued innovation and the success of our EnCase® software.”
Limongelli added, “We also added 65 new customers on the EnCase® Enterprise platform, bringing the total to more than 1,000 since the introduction of that product.”
Second Quarter 2011 Highlights and Noteworthy Events
• | The company added 65 new EnCase® Enterprise customers in the second quarter of 2011, compared to 17 in the second quarter of 2010. EnCase® Enterprise customers gained over the life of the product include more than sixty percent of the Fortune 100 and more than one-third of the Fortune 500. The company also added 27 customers ofEnCase® eDiscovery orEnCase® Cybersecurity which are built on the EnCase® Enterprise platform. |
• | In May, Gartner, Inc. named Guidance Software a leader in its firstMagic Quadrant for E-Discovery Software (1). The Magic Quadrant for E-Discovery Software report assesses 24 vendors on their ability to execute and completeness of vision in the e-discovery market. |
• | In May, Guidance Software hosted the eleventh annual Computer and Enterprise Investigations Conference (CEIC). With record attendance of more than 1,300 people from 49 different countries, CEIC underscored the continued growth of the digital forensics industry. |
• | In late June, the newest version of Guidance Software’s flagship digital forensic solution -EnCase® Forensic version 7 – became available to customers. The company’s biggest EnCase® Forensic product release since 2006 transforms the way digital investigations are conducted — delivering new smartphone and tablet data acquisition for iPhones, iPads, BlackBerrys, Android, and the like – not available withany other computer forensics application. Also included are new, intuitive email results and a unified search functionality; expanded capabilities for the included EnScript programming language for customization; and all with a streamlined interface and built-in workflow. |
2011 Financial Outlook:
The company is reiterating its guidance for the year ended December 31, 2011, as follows:
• | Revenue is expected to be in the range of $99 million to $103 million, representing year-over-year growth of 8 percent to 12 percent. |
• | Non-GAAP pre-tax earnings are expected to be approximately $0.12 - $0.18 per share. |

This press release and its attachments include the non-GAAP financial measures of income (loss) before income taxes excluding share-based compensation expense, acquisition-related expense, amortization of intangibles and certain state sales tax charges and non-GAAP income (loss) before income taxes per share excluding share-based compensation expense, acquisition-related expense, amortization of intangibles and certain state sales tax charges, which are reconciled to net loss and net loss per share, respectively, which we believe are the most comparable GAAP measures. We use these non-GAAP financial measures for internal managerial purposes, when publicly providing our business outlook, and to facilitate period-to-period comparisons. We describe limitations specific to each non-GAAP financial measure below.
Management generally compensates for limitations in the use of non-GAAP financial measures by relying on comparable GAAP financial measures and providing investors with a reconciliation of the non-GAAP financial measures only in addition to and in conjunction with results presented in accordance with GAAP. We believe that these non-GAAP financial measures reflect an additional way of viewing aspects of our operations that, when viewed with our GAAP results, provide a more complete understanding of factors and trends affecting our business. These non-GAAP measures should be considered as a supplement to, and not as a substitute for, or superior to, net loss and net loss per share calculated in accordance with GAAP.
Non-GAAP income (loss) is defined as follows: GAAP net income (loss) before income taxes excluding share-based compensation expense, acquisition-related expense, amortization of intangibles and certain state sales tax charges. Share-based compensation expense is recorded in accordance with the FASB Accounting Standards Codification (ASC 718)Compensation – Stock CompensationTopic (formerly Statement of Financial Accounting Standard No. 123R, “Share-Based Payment”) for equity awards to employees and directors. Management and the Board of Directors believe it is useful to review the supplemental non-GAAP financial measures, which excludes income taxes and expenses related to share-based compensation, acquisition-related expense, amortization of intangibles and certain state sales tax charges in evaluating the Company, its management team and business unit performance during a particular time period. Share-based compensation expense, acquisition-related expense, amortization of intangibles, certain state sales tax charges and income taxes are not the responsibility of operating managers and generally cannot be changed or influenced by management.
Additionally, we believe it is useful in measuring the Company’s performance to exclude expenses related to income taxes, share-based compensation expense, acquisition-related expense, amortization of intangibles and certain state sales tax charges because it facilitates comparability with prior period information.
Accordingly, management and the Board of Directors do not consider these excluded costs for purposes of evaluating the performance of the business, and they exclude such costs when evaluating the performance of the Company, its business units and its management teams and when making decisions to allocate resources among the Company’s business units.
