Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of MaxLinear, Inc. Common Stock.

2. Subject to the Reporting Person's continuing as a Director through such date, one hundred percent (100%) of the RSUs subject to the award will vest on the earlier to occur of May 1, 2017 or the date immediately preceding the 2017 annual meeting of stockholders. Reporting Person deferred delivery of shares of Common Stock issuable upon the vesting of RSUs on May 1, 2017. On January 15, 2020, the deferred shares of Common Stock were delivered to the Reporting Person.
