Explanation of Responses:

1. The 6.75% Series B Cumulative Perpetual Convertible Preferred Stock mandatorily converted into shares of Common Stock on May 15, 2019 at a conversion price of approximately $7.47 per share (equivalent to a conversion rate of 33.456 shares of Common Stock for each share of 6.75% Series B Cumulative Perpetual Convertible Preferred Stock). Upon the mandatory conversion of such Convertible Stock, accrued and unpaid dividends were paid in cash by the Issuer.

2. On January 8, 2020, the Reporting Person filed a Form 4 to report the acquisition of restricted stock units. Including the shares reported on this Form 5, the number of shares of common stock beneficially owned following the transactions reported on the Form 4 filed on January 8, 2020 was 240,938.2.

3. These shares were convertible at any time into shares of the Issuer's common stock at the conversion rate set forth in Footnote (1) to this Form 5.

4. These securities had no expiration date.

5. The Reporting Person converted the 6.75% Series B Cumulative Perpetual Convertible Preferred Stock into the shares reported as acquired in Table I of this Form 5.
