PATRIOT COAL ANNOUNCES COMPLETION OF OFFERING
OF CONVERTIBLE SENIOR NOTES
ST. LOUIS, May 28 – Patriot Coal Corporation (NYSE: PCX) today announced the closing of its private placement of $200 million in aggregate principal amount of 3.25% Convertible Senior Notes due 2013 (the “notes”). The aggregate principal amount issued reflects the full exercise of the over-allotment option granted to the initial purchasers with respect to the notes.
The net proceeds of the offering were approximately $192.8 million. Patriot intends to use the net proceeds of the offering to reduce the principal balance of the debt to be assumed in connection with its pending acquisition of Magnum Coal Company and for general corporate purposes, or to redeem the notes if the acquisition is not consummated. The notes will be Patriot’s senior unsecured obligations and will rank equally with all of Patriot’s existing and future senior debt and senior to any of Patriot’s future subordinated debt.
The notes and any shares of common stock issuable on conversion of the notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”) or any state securities laws. They will be offered only to qualified institutional buyers pursuant to Rule 144A promulgated under the Securities Act and may not be offered or sold in the United States, except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
