Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On February 26, 2009, Patriot Coal Corporation (the “Company”) issued a press release announcing that Joseph W. Bean has been named as the Company’s Senior Vice President — Law & Administration. He will also continue to serve as General Counsel and Corporate Secretary. Effective March 1, 2009, Mr. Bean’s annual salary will become $350,000. Additionally, Mr. Bean’s target and maximum opportunity levels under the Company’s Management Annual Incentive Compensation Plan will be increased to 80% and 140% of base salary, respectively, based on achievement of relevant Company performance objectives.
