We have acted as counsel for Patriot Coal Corporation, a Delaware corporation (the “Company”), in connection with the Registration Statement on Form S-3 (File No. 333-157645) (the “Registration Statement”) filed by the Company with the Securities and Exchange Commission pursuant to the Securities Act of 1933, as amended (the “Securities Act”), for the purpose of registering securities including 12,000,000 shares of its common stock, par value $0.01 per share (the “Common Stock”), including associated Series A Junior Participating Preferred Stock purchase rights, which are being sold to underwriters on June 22, 2009.
