SECTION 1- Registrant’s Business and Operations
Item 1.01 - Entry into a Material Definitive Agreement.
On January 10, 2007, Financial Asset Securities Corp. (the “Depositor”) entered into Amendment No. 1 (the “Amendment”) to the Pooling and Servicing Agreement, dated as of September 1, 2006 (the “Pooling and Servicing Agreement”), by and among Financial Asset Securities Corp. as depositor (the “Depositor”), Wells Fargo Bank, N.A., as servicer effective January 1, 2007 and February 1, 2007 (the “Servicer”) and Deutsche Bank National Trust Company as trustee (the “Trustee”), relating to the Fremont Home Loan Trust 2006-3, Asset-Backed Certificates, Series 2006-3. The full text of the Amendment is attached as Exhibit 4.2 to this Current Report on Form 8-K. Any terms used but not defined herein shall have the meanings set forth in the Pooling and Servicing Agreement.
