Explanation of Responses:

1. Each restricted stock unit represents a right to receive one share of Common Stock.

2. 50% of the Common Stock covered by the restricted stock units was issued to the Reporting Person on February 12, 2016 (the third anniversary of the date of grant). The remaining 50% of the Common Stock covered by the restricted stock units will be issued to the Reporting Person in connection with the Reporting Person's ceasing to serve as a director of the Issuer.

3. These restricted stock units may have different vesting and distribution dates. Fractional restricted stock units are paid in cash upon vesting.
