Explanation of Responses:

1. The securities awarded are in the form of restricted stock units ("RSUs") issued pursuant to the Issuer's 2014 Stock Option and Incentive Plan. Each RSU represents a contingent right to receive one share of the Issuer's common stock. All RSUs will vest in full on 5/28/16; provided that RSUs that have not vested will automatically terminate if the reporting person's membership on the Board of Directors is terminated by the Issuer for cause or if the reporting person voluntarily resigns from the Board.
