Remarks:

As previously reported on her Form 3 filed on July 3, 2017, the Reporting Person was granted 26,500 time sensitive restricted stock units ("RSUs") (Grant No. LTIP RSU G8) under the Cellular Biomedicine Group, Inc. 2014 Stock Incentive Plan, which RSUs vest over a period of four years according to the following schedule: 1/48th per month, with the first installment vested on June 27, 2017. On November 27 and December 27, 2017, 552 RSUs vested and were delivered to the Reporting Person, of which 106 and 104 shares, respectively, of common stock were withheld (at the respective closing price of the Company's common stock on the NASDAQ Global Market on November 27 and December 27, 2017) to satisfy the tax obligation relating to the vesting of the RSUs pursuant to Section 16b-3(e) under the Securities Exchange Act of 1934.
