Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 31, 2014, Jesse T. Herrick amended and restated the terms of his February 18, 2014 resignation letter to American DG Energy Inc., or the Company. Pursuant to such amended and restated resignation letter, Mr. Herrick’s resignation from his positions as Chief Financial Officer, Secretary and Treasurer of the Company, and any other positions he may have had with the Company and the Company’s majority owned subsidiary, EuroSite Power Inc., will become effective April 11, 2014.
