Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On April 2, 2009, U.S. Auto Parts Network, Inc. changed the Company's fiscal year from a calendar year ending on December 31st to a 52/53 week fiscal year ending on the first Saturday following December 31st. The change in the Company’s fiscal year will take effect on January 1, 2009 and, therefore, there will be no transition period in connection with this change of fiscal year-end. The 2009 fiscal year will end on January 2, 2010.
