Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On May 25, 2012, Targa Resources GP LLC, the general partner of Targa Resources Partners LP (the “Partnership”), executed Amendment No. 2 (the “Amendment”) to the First Amended and Restated Agreement of Limited Partnership of the Partnership (the “Partnership Agreement”) in order to modify the definition of Available Cash in the Partnership Agreement to facilitate the Partnership’s working capital settlement process.
A copy of the Amendment is filed as Exhibit 3.1 to this report and is incorporated herein by reference.
