Item 1. | Security and Issuer. |
This amendment No. 1 to Schedule 13D (“Amendment No. 1”) amends the Schedule 13D filed on April 15, 2010 (as amended, the “Schedule 13D”). This Schedule 13D relates to the common stock, par value $.0001 per share (“Common Stock”) issued by Sentisearch, Inc., a Delaware corporation (the “Company”), whose principal executive offices are located at 1217 South Flagler Drive, 3rd Floor, West Palm Beach, FL 33401. Those items for which there has been no change in the information previously reported are omitted from this Amendment No. 1.

On April 19, 2011, the Reporting Person invested $50,000 in new funds in, and cancelled promissory notes in the aggregate principal amount of $45,000 issued by, the Company, in exchange for a new promissory note in the principal amount of $95,000 and a five-year warrant (the “Warrant”) to purchase 463,415 shares of the Common Stock at an exercise price of $0.41 per share.

Beneficial ownership is calculated based upon 16,821,787 shares of the Company’s Common Stock outstanding on March 23, 2011 as reported in the 2010 10-K.
As of the date of this filing, the Reporting Person beneficially owned 2,818,328 shares of the Company’s Common Stock, representing 16.1% (calculated in accordance with the instructions to Schedule 13D) of the issued and outstanding shares of the Company’s Common Stock. Said securities consist of (i) 2,154,913 shares owned directly by the Reporting Person, (ii) 463,415 issuable upon exercise of the Warrant, and (iii) 200,000 shares issuable upon exercise of options, held by the Reporting Person and exercisable within 60 days.
The Reporting Person has sole power to vote and dispose of all securities over which he claims beneficial ownership herein.
