Item 8.01. Other Events.
On May 5, 2020, TriState Capital Holdings, Inc. (“TriState Capital”) will file a preliminary prospectus supplement for an underwritten public offering of TriState Capital’s fixed-to-floating rate subordinated notes due 2030 (the “Notes”) through Stephens Inc. and Raymond James & Associates, Inc.
A copy of the investor presentation being used in connection with the offering of the Notes is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
The offering of Notes is being made pursuant to TriState Capital’s effective shelf registration statements on Form S-3 (File Nos. 333-235713 and 333-222074) previously filed with the Securities and Exchange Commission. Any offer or sale of the Notes will be made only by means of a prospectus supplement relating to the offering and the accompanying prospectuses.
