Item 7.01 Regulation FD Disclosure
On August 3, 2023 (August 4, 2023 Australian Eastern Standard Time), Limeade, Inc. (“Limeade”) (ASX: LME), an immersive employee well-being company that creates healthy employee experiences, filed a release with the Australian Securities Exchange (“ASX”) describing the contemplated timeline for completion of the proposed merger between Limeade and Lotus Merger Sub, Inc. (“Merger Sub”), a Washington corporation and wholly owned direct subsidiary of WebMD Health Corp., a Delaware corporation (“WebMD”), pursuant to that certain Agreement and Plan of Merger, dated as of June 8, 2023, by and among Limeade, WebMD and Merger Sub. A copy of the ASX release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
