1. Represents shares acquired under a restricted unit award that vested on March 26, 2017 for that number of shares equal to $345,000, divided by the closing price of the Class C capital stock on March 24, 2017.

2. Represents shares sold pursuant to a 10b5-1 trading plan to cover tax withholding due upon vesting.
