| Explanation of Responses: |
| 1. Mr. Cabell voluntarily resigned from the board of directors (the "Board") of Chaparral Energy, Inc. (the "Issuer") in order to facilitate certain corporate governance changes. In recognition of Mr. Cabell's service, the Board and the Compensation Committee of the Board accelerated the vesting date of certain restricted stock units ("RSU") granted to Mr. Cabell, so that 10,000 RSUs that were scheduled to vest at the 2020 annual meeting of the Issuer's stockholders (or, if earlier, August 30, 2020) vested instead on December 20, 2019, the effective date of Mr. Cabell's resignation. Upon vesting, such RSUs were settled in shares of Class A common stock, par value $0.01 per share ("Common Stock") of the Issuer on a one-for-one basis. |
| 2. Each RSU represents a contingent right to receive one share of Common Stock of the Issuer upon vesting and settlement. |
| 3. As additional recognition of Mr. Cabell's service on the Board, the Board and the Compensation Committee of the Board also accelerated the 6,044 unvested restricted shares of Common Stock previously granted to Mr. Cabell, which were scheduled to vest on April 1, 2020. |
