Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On May 3, 2011 Vicis Capital Master Fund completed its commitment to loan to the Company $4,000,000 represented by a series of promissory notes ($1,000,000 funded January 2011, $1,500,000 funded March 2011 and $1,500,000 funded May, 2011) bearing interest at the rate of 5% per annum, principal and interest payable upon demand. Vicis is the holder of the Company's Senior Secured Debentures and Series A Preferred Stock.
