Explanation of Responses:

1. Each restricted stock unit represents a right to receive one share of Common Stock.

2. 50% of the Common Stock covered by the restricted stock units will be issued to the Reporting Person on the earlier of February 10, 2019 (the third anniversary of the date of grant) or in connection with the Reporting Person's ceasing to serve as a director of the Issuer, and the remaining 50% will be issued to the Reporting Person in connection with the Reporting Person's ceasing to serve as a director of the Issuer.

3. These restricted stock units may have different vesting and distribution dates. Fractional restricted stock units are paid in cash upon vesting.
