1. Restricted Stock Unit Award made pursuant to the terms of the Vanguard Natural Resources, Inc. 2017 Management Incentive Plan. Each Restricted Stock Unit represents the right to receive one share of Common Stock. 1/3 of the Restricted Stock Units will vest on each of the first three anniversaries of October 30, 2017. Vested Restricted Stock Units shall be settled within three days following the vesting date.
