State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
The Quarterly Report on Form 10-Q of Grizzly Energy, LLC (the “Company”) for the quarterly period ended June 30, 2019, could not be filed with the Securities and Exchange Commission within the prescribed time period without unreasonable effort or expense, because the Company needs additional time to complete its financial statements and related disclosures and approvals.
On March 31, 2019, the Company voluntarily filed petitions for relief under chapter 11 of the U.S. Bankruptcy Code (“Chapter 11”) in the U.S. Bankruptcy Court for the Southern District of Texas, Houston Division (the “Court”). On July 16, 2019, the Company successfully completed its financial restructuring and emerged from Chapter 11 as a new limited liability company.
In consideration of the additional time required by management to make appropriate revisions to the financial statements and disclosures included in the Company’s Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2019, to reflect its emergence from Chapter 11, such Form 10-Q cannot be filed within the prescribed time period without unreasonable effort and expense.

As a result of the matters discussed in Part III above, the Company is not in a position at this point to provide any specific estimate of anticipated significant changes in results of operations from the quarterly period ended June 30, 2018 to the quarterly period ended June 30, 2019 that may be reflected in the financial statements to be included in the Company’s Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2019.
We, however, anticipate that total revenues for the quarter ended June 30, 2019 will be lower than the quarter ended June 30, 2018, as a result of lower realized commodity prices, excluding the impact of hedging and lower production volumes resulting from divestments. Additionally, we anticipate a higher loss from operations for the quarter ended June 30, 2019 as compared to the quarter ended June 30, 2018 due to a higher impairment of oil and natural gas properties resulting from lower commodity prices.
The foregoing statements are based on our current expectations as of the date of this filing and involve a number of risks and uncertainties which may cause actual results to differ, as discussed further below.
