On December 28, 2015, Murray J. McCabe notified the board of directors (the “Board”) of Monogram Residential Trust, Inc. (the “Company”) of his decision to resign from the Board and any associated committees of the Board, effective December 28, 2015. Mr. McCabe’s decision to resign did not involve any disagreement with the Company, the Company’s management or the Board. A copy of the letter of resignation submitted by Mr. McCabe is attached hereto as Exhibit 99.1 and incorporated by reference.
