ITEM 5.03. Amendments to Articles of Incorporation or Bylaws
On June 26, 2007, the Board of Directors of SouthEast Bancshares, Inc. (the “Company”) unanimously approved an amendment (the “Amendment”) to the Company’s Bylaws to delete the current ownership restrictions and to add certain transfer restrictions with respect to the common stock of the Company. Previously, the Bylaws provided that no shareholder, including his or her affiliates, was permitted to purchase more than five percent of the Company’s common stock, and no affiliate group was allowed to own more than nine percent of the Company’s common stock.
Amended Article II, Section 9 of the Bylaws entitled “Ownership Limitation” was deleted in its entirety and replaced with a new Article II, Section 9 entitled “Transfer Restrictions.” The Amendment provides that a holder of the Company’s common stock who desires to sell or transfer his or her shares must either: (i) sell or transfer the offered shares to another existing holder of record of Company’s common stock common stock; or (ii) sell or transfer to any purchaser or transferee, whether or not such person is a current holder or record of Company’s common stock, no fewer than two hundred fifty (250) shares; or (iii) sell or transfer any number of shares so long as such transfer does not increase the total number of holders of record of Company common stock.
The Amendment was effective immediately. The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the text of the Amendment, which is filed as Exhibit 3.1 hereto and is incorporated herein by reference.
