Item 8.01 Other Events.
On September 24, 2018, Opiant Pharmaceuticals, Inc. (the “Company”) issued a press release announcing the commencement of an underwritten public offering of its common stock pursuant to a shelf registration statement filed on Form S-3 (File No. 333-220976) with the Securities and Exchange Commission, which was declared effective November 7, 2017. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
Pursuant to that certain Controlled Equity OfferingSM Sales Agreement, dated October 13, 2017 (the “Sales Agreement”), by and between the Company and Cantor Fitzgerald & Co. (“Cantor”), the Company may offer and sell, from time to time, shares of its common stock through Cantor, acting as agent, through an “at the market offering” as defined in Rule 415(a)(4) (the “ATM Offering”) promulgated under the Securities Act of 1933, as amended (the “Securities Act”). On March 19, 2018, pursuant to the ATM Offering, the Company filed a prospectus supplement pursuant to which the Company may offer and sell, from time to time, shares of its common stock having an aggregate offering price of up to $20.0 million through Cantor (the “ATM Prospectus Supplement”). From March 21, 2018 to July 30, 2018, the Company issued 239,270 shares of its common stock at an average price of $18.01 per share through the ATM Prospectus Supplement, resulting in net proceeds to the Company of approximately $4.2 million. The Company paid a commission equal to 3% of the gross proceeds from the sale of shares of its common stock under the ATM Prospectus Supplement. The Company terminated the ATM Prospectus Supplement on September 24, 2018, but the Sales Agreement remains in full force and effect. As of September 24, 2018, the Company had 2,982,665 shares of common stock outstanding.
