1. Represents restricted stock units ("RSUs"), each of which represents a contingent right to receive one share of the Issuer's common stock. The RSUs were granted on March 31, 2022, and vest as follows: One-third on March 31, 2023; 1/12th of the original grant quarterly thereafter through March 31, 2025. Settlement of vested RSUs will occur as soon as practicable following vesting.
