On December 7, 2020, Coupa Software Incorporated issued a press release announcing its results for its third quarter ended October 31, 2020. A copy of the press release is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 4, 2020, Steven Winter, Coupa’s Chief Revenue Officer, informed the Company of his intent to retire from his current executive position on February 1, 2021, after the completion of the Company’s 2021 fiscal year. Mr. Winter has agreed to remain employed in an executive advisory capacity during fiscal 2022 to assist with the transition and support sales activities. Mr. Winter will retain his executive severance and change-in-control benefits through this transition period and will be entitled to payment or reimbursement of COBRA premiums for a six month period following the end of his transition period.
Item 8.01. Other Events.
On December 7, 2020, the Company announced that Rob Glenn, age 54, will be promoted to EVP, Worldwide Sales, effective February 1, 2021, succeeding Mr. Winter as the head of the Company’s global sales function. Mr. Glenn joined Coupa in June 2014 as Vice President, EMEA Sales, and was appointed VP, US East and Canada Sales in June 2016. Mr. Glenn was promoted to his current position of SVP, Americas, in January 2018. Prior to working at Coupa, Mr. Glenn served as chief operating officer of EG Solutions PLC (later acquired by Verint Systems, Inc.) from 2013 to 2014 and as a senior vice president at PROS from 2011 to 2013.
