Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 20, 2008, the Chief Financial Officer (principal financial officer) of Iowa Renewable Energy, LLC (the “Company”), J. William Pim, resigned from the office of Chief Financial Officer. Mr. Pim will continue to serve as a director of the Company. The board of directors of the Company appointed Ron Lutovsky as the new Chief Financial Officer of the Company on the same date.
Mr. Lutovsky has over twenty years of accounting experience with manufacturing companies in a variety of industries. Since December 1998, Mr. Lutovsky served in various positions with operating companies of HNI Corporation, a leading manufacturer of office systems and hearth products, including, Division Controller, Group Controller of Operations, V.P. Controller, V.P. Manufacturing Improvement, Director of Logistics and Business Planning, and, most recently, Finance Manager. Prior to joining HNI Corporation, he served as Facility Controller of Excel Corporation, a subsidiary of Cargill, Inc. Mr. Lutovsky’s business background also includes financial management positions with Redmond Products, Inc., Diamond Brand Incorporated, and Barnes Drill Company.
Mr. Lutovsky is not a director for any reporting companies and does not have any family relationships with the Company’s directors or executive officers. In addition, Mr. Lutovosky is not a party to any transactions, other than his employment, with the Company.
The Company’s board of directors and Mr. Lutovsky are still in the process of negotiating the specific terms of an employment contract for Mr. Lutovsky, therefore, Mr. Lutovsky is not currently a participant in any material plan, contract or arrangement with the Company.
