Research Solutions, Inc. (the “Registrant”) hereby incorporates by reference the description of its common stock, par value $0.001 per share, contained in the section captioned “Description of Securities” in the Registrant’s Registration Statement on Form S-1 (File No. 333-148392), as originally filed on Form SB-2 with the Securities and Exchange Commission (the “Commission”) on December 28, 2007, and as amended on Form S-1 on February 27, 2008 and March 21, 2008 (the “Registration Statement”), including any prospectus relating to the Registration Statement filed subsequently pursuant to Rule 424(b) of the Securities Act of 1933, as amended.
The Registrant’s common stock to be registered hereunder has been approved for listing on the Nasdaq Capital Market of The NASDAQ Stock Market LLC under the symbol “RSSS.”
