Item 1.01 Entry into a Material Definitive Agreement.
On December 11, 2021, ChromaDex Corporation (the “Company”), and the Company’s wholly owned subsidiaries, ChromaDex, Inc., a California corporation, and ChromaDex Analytics, Inc., a Nevada corporation (together with the Company, the “Borrowers”) entered into an amendment (the “Amendment”) to a business financing agreement (the “Agreement”) dated November 1, 2019 among the Borrowers and Western Alliance Bank (the “Lender”).
The Amendment increased the aggregate principal amount available to the Borrowers from $7,000,000 to $10,000,000, subject to the terms and conditions of the Agreement, as amended, and extended the maturity date of the revolving credit line to November 12, 2023. The Amendment also reduced the interest rate to be calculated at a floating rate per month equal to (a) the greater of 3.25% per year (instead of 4.75% per year) or (ii) the Prime Rate published in the Money Rates section of the Western Edition of The Wall Street Journal, or such other rate of interest publicly announced by the Lender as its Prime Rate, plus (b) 1.50 percentage points, plus an additional 5.00 percentage points during any period that an event of default has occurred and is continuing. There are no amounts outstanding under the Agreement, as amended, as of the date of this Current Report.
