FINAL AMENDMENT TO TENDER OFFER
This Tender Offer Statement on Schedule TO relates to the offer (the “Offer”) by: MPF Flagship Fund 14, LLC, MPF Platinum Fund, LP, MPF Northstar Fund, LP, MPF Income Fund 26, LLC, Moraga Gold, LLC, Coastal Realty Business Trust (collectively the “Purchasers”) to purchase up to 5,000,000 shares of common stock and the associated shares of Series A preferred stock (together, the “Units”) in Apple REIT Eight, Inc. (the “Corporation”), the subject company, at a purchase price equal to $3 per Unit, less the amount of any dividends declared or made with respect to the Units between June 1, 2011 (the “Offer Date”) and July 22, 2011 or such other date to which this Offer may be extended (the “Expiration Date”), upon the terms and subject to the conditions set forth in the Offer to Purchase dated June 1, 2011 (the “Offer to Purchase”) and the related Assignment Form.
The Offer resulted in the tender by unitholders, and acceptance for payment by the Purchasers, of a total of 15,209.941 Units. Upon completion of the Offer, the Purchasers held an aggregate of approximately 15,209.941 Units, or approximately 0.02% of the total outstanding Units. Of these units, 11,407.941 units were allocated to MPF Flagship Fund 14, LLC and 3,802 units were allocated to MPF Northstar Fund, LP.
