NeuLion Announces Series A Convertible Preferred Shares Private Placement
PLAINVIEW, NY--(Marketwire - 05/31/10) - NeuLion, Inc. (TSX:NLN - News) (the "Company"), an end-to-end IPTV service provider of live and on-demand sports, international and variety programming over the Internet, today announced that on May 28, 2010 it executed a non-binding term sheet in connection with a potential private placement, with a company controlled by one of its directors, of US$10 million of Series A Convertible Preferred Shares (the "Preferred Shares"). The Preferred Shares are priced at CDN$0.60 per share, a 28% premium over CDN$0.47, which was the price of the Company's Common Shares at the close of business on May 28, 2010. The Preferred Shares carry an eight percent dividend over five years and bear certain rights, preferences, privileges and restrictions. The proceeds of the private placement will be used for general wor king capital purposes.
The closing of the private placement is subject to completion of due diligence, execution of definitive documentation, the approval of the Company's shareholders and the Toronto Stock Exchange, and other customary closing conditions.
