On November 5, 2010, the Superior Court of California, County of Santa Clara, issued an order preliminarily approving a settlement inIn re ShoreTel, Inc., Shareholder Litigation(formerlyBerkovitz v. Combs, et al.), Case No. 1-08-CV-104623, a shareholder derivative action filed in January 2008, and set a final approval hearing for February 18, 2011. The terms of this settlement are set forth in a Stipulation of Settlement dated September 7, 2010 attached as Exhibit 99.01 to this Form 8-K and a Notice of Pendency and Settlement of Shareholder Action and of Settlement Hearing attached as Exhibit 99.02 to this Form 8-K, and are incorporated herein by reference.
