(b) On November 20, 2008, Mike Tomas, a member of our Board of Directors, notified the Company of his intention to resign from the Board of Directors effective immediately. Mr. Tomas was Chairman of the Compensation Committee of the Board and a member of the Governance & Nominating Committee of the Board. Mr. Tomas did not indicate upon resignation, or otherwise, that he disagreed with the Company on any matter relating to our operations, policies or practices.
