Explanation of Responses:

1. Granted pursuant to the 2007 Omnibus Incentive Plan as an added compensation element for the months of January through May 2016. 1000 RSU's shall vest at the end of each month, contingent on continued employment. As of the grant date, 2000 RSUs have already vested.

2. Each RSU represents the right to receive, at settlement, one share of common stock. This transaction represents the settlement of RSUs in shares of common stock on their scheduled vesting date.
