Item 7.01 Regulation FD Disclosure
On December 17, 2007, Prairie Creek Ethanol, LLC (the “Company”) announced its plans to construct and operate a 55 million gallon per year ethanol plant with backside corn oil recovery capability, rather than a 100 million gallon per year plant as previously planned. The Company expects to file a post-effective amendment to its registration statement to reflect these changes with the United States Securities and Exchange Commission and with each state in which it has registered its offering. The Company also announced that it will reject all subscriptions for membership units it has received thus far.
Beginning December 17, 2007, the Company will send correspondence to its subscribers that includes a general description of the rejection of each subscriber’s subscription and the Company’s plans to construct and operate a 55 million gallon per year ethanol plant with backside corn oil recovery capability. The correspondence is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
