Explanation of Responses:

1. The shares were disposed of pursuant to the Agreement and Plan of Merger dated as of August 15, 2019 (the "Merger Agreement"), by and between Bancorp of New Jersey, Inc. ("BKJ") and ConnectOne Bancorp, Inc. ("CNOB"). Pursuant to the Merger Agreement, each share of BKJ common stock was converted into .780 of a share of CNOB common stock, subject to the allocation and proration provisions in the Merger Agreement, which provisions provide that approximately 80 percent of the shares of BKJ common stock will be exchanged for CNOB common stock, and approximately 20 percent of the shares of BKJ common stock will be exchange for cash (at a price of $16.25 per share).
