Explanation of Responses:

1. Amended solely to correct Transaction Code from S to F. As indicated in the original Form 4 filed on 2/15/24, these transactions represented shares withheld to satisfy tax obligations due upon vesting.

2. This amendment also reports the settlement of 1/3 of a restricted stock unit ("RSU") award granted on 2/17/2021. Each RSU represented a contingent right to receive 1 share of the Issuer's common stock.

3. Represents shares withheld to satisfy the tax obligations due upon vesting of the RSUs described in footnote 2. Price reflects closing stock price on the last business day prior to vesting.
