Explanation of Responses:

1. Represents shares withheld by the Issuer to satisfy tax withholding obligations in connection with the delivery of performance stock units earned from awards previously granted pursuant to the Park Hotels & Resorts Inc. 2017 Omnibus Incentive Plan.

2. The total number of shares held directly by the Reporting Person has been decreased by 3,484 shares to correct an inadvertent error in the number of shares reported as surrendered to the Issuer by the Reporting Person to satisfy tax withholding obligations related to restricted stock that previously vested on February 23, 2018.
