Explanation of Responses:

1. Pursuant to the terms of the Amended and Restated 2007 Equity Incentive Plan these fully-vested shares represent the annual grant for fiscal 2023. The transaction was not timely reported due to an inadvertent administrative error and was filed as soon as the error was discovered.

2. This includes 63,342 unvested restricted stock units.
