Explanation of Responses:

1. Ospraie Partners LLC sold 45,994 ordinary shares to ESAC Holdings LLC at the original purchase price of approximately $0.007 per ordinary share, as further described in the Issuer's Registration Statements on Form S-1 (333-203599) and (333-204866).

2. Ospraie Partners LLC received the ordinary shares from the Issuer pursuant to a bonus share issue, as further described in the Issuer's Registration Statements on Form S-1 (File No. 333-203599) and (333-204866).

3. Includes 45,712 ordinary shares subject to forfeiture depending on the extent to which the underwriters' over-allotment option is exercised.

4. The reporting person disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the shares for purposes of Section 16 or for any other purpose.
