EXPLANATORY NOTE
On March 10, 2021, the Board of Directors of SurgePays, Inc. (the “Company”) approved the Plan to, among other things, make available shares of the Company’s common stock, par value $0.001 per share (“Common Stock”), for stock-based awards thereunder. This Registration Statement on Form S-8 is being filed with the United States Securities and Exchange Commission for the purpose of registering 3,000,000 shares of Common Stock issuable pursuant to the Plan.
