Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

2. 3,575 of the 14,300 restricted stock units granted to the Reporting Person were vested and released. Such 14,300 share grant vests at the following rate: one-fourth of the shares on January 1, 2018 and on each one year anniversary thereafter, subject to the Reporting Person continuing as a service provider through each such date.
